These Terms and Conditions Policy (hereinafter referred as “Terms”, “Terms and Conditions”) applies to use of this website, platform, application and/or use of our services (hereinafter referred as “Services”). CODE OF CONDUCT

Under these Terms, You agree not to host, display, upload, modify, publish, transmit, update or share any information that: (a) belongs to another person and in relation to which it does not have any right of use; (b) infringes intellectual property rights (including any patent, trademark, copyright or other proprietary rights) of any person and privacy rights of any person; (c) is false or misleading in any way; (d) violates any law for time being in force; (e) harasses or advocates harassment of another person; (f) involves the transmission of “junk mail”, “chain mail” or unsolicited mass mailing or “spamming”; (g) promotes illegal activities or abusive, obscene, defamatory or libellous conduct; (h) solicits gambling or engages in any gambling activity which is or could be construed as being illegal; (i) harms minors in any way; (j) is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another’s privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever; or unlawfully threatening or unlawfully harassing including but not limited to “indecent representation of women” within the meaning of the Indecent Representation of Women (Prohibition) Act, 1986; (k) deceives or misleads the other Users of the
platform about the origin of messages or communicates any information which is grossly offensive or menacing in nature; (l) threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation; (m) promotes an illegal or unauthorized copy of another person’s copyrighted work; (n) provides material that exploits people in a sexual, violent or otherwise inappropriate manner or solicits personal information from anyone; (o) provides instructional information about illegal activities such
as making or buying illegal weapons, violating someone’s privacy, or providing or creating computer viruses; (p) tries to gain unauthorized access or exceeds the scope of authorized access to the platform or to profiles, blogs, communities, account information, bulletins, friend request, or other areas of the platform or solicits passwords or personal identifying information for commercial or unlawful purposes from other users; and (q) refers to any website or URL that, in our sole discretion, contains material that is inappropriate for the platform or any other website, application, software contains content that would be prohibited or violates the letter or spirit of these Terms.
You agree not to (a) reveal/disclose confidential or proprietary information of other Users, the Company or any third party when the User receives or comes in possession of such confidential or proprietary information; (b) incorporate any computer contaminant, software virus or any computer code or file or program on the platform designed to interrupt, destroy or limit the functionality of the platform; (c) incorporate or introduce any program on the platform of the Company that might infringe the intellectual property rights of any other User and/or of the Company; (d) download, copy, reproduce any file or information available on the Company’s platform which the User knows,
or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed; (e) in any way, deface or vandalize the platform or prevent or restrict others from using the platform; (f) stalk, threaten or harass any other User or infringe upon or attempt to infringe upon their privacy; (g) infringe any patent, trademark, copyright or other proprietary rights or third party’s trade secrets or rights of publicity or privacy, of the Company, other Users of the platform or any third Party; (h) impersonate any person or entity, or falsely state or otherwise misrepresent themselves or their affiliation with any person or entity; (i) directly or indirectly, offer, attempt to offer, trade or attempt to trade in any item, the dealing of which is prohibited or restricted in any manner under the provisions of any applicable law, rule, regulation or guideline for the time being in force; and (j) create liability for the Company or cause the Company to lose (in whole or in part) the services of its internet service provider or other suppliers. It is also clarified that you shall not use any “deep-link”, “page-scrape”, “robot”, “spider” or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the platform, or in any way reproduce or circumvent the navigational structure or presentation of the Company or any Service, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the platform of the Company. We reserve the right to bar any such activity. You agree that you shall not attempt to gain unauthorized access to any portion or feature of the platform or any feature pertaining to availing of Services or any other systems or networks connected to the platform or to any server, computer, network, or to any Services offered on or through the platform of the Company, by hacking, password “mining” or any other illegitimate means.
You agree that you shall not probe, scan or test the vulnerability of the platform or any network connected to the platform of the Company nor breach the security or authentication measures on the platform or any network connected to the platform. You may not reverse look-up, trace or seek to trace any information on any other User of or visitor to platform, or any other client/customer/user/member of the Company including any account on the platform not owned/operated/managed by you, to its source, or exploit the platform or information made available or offered by or through the platform, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the platform. You agree that you shall not make any negative, denigrating or defamatory statement and/or comment about the Company or the Services or the brand name or domain name used by the Company or otherwise engage in any conduct or action that might tarnish the image or reputation of the Company or other Users on the platform of the Company or other business partners of the
Company or otherwise tarnish or dilute any of the Company’s trade or service marks, trade names and/or goodwill associated with such trade or service marks, trade name as may be owned or used by the platform.
You agree that you will not use the platform or any content thereof for any purpose which is unlawful or prohibited by the Terms or to solicit the performance of any illegal activity or other activity which infringes the rights of the Company/, its Users and/or others third parties. In the event, we have reasonable grounds to believe that your activities include any of the acts specified above, we may initiate appropriate legal action against you as well as notify the relevant regulatory or law enforcement authorities where appropriate in addition to any other available remedies under law or equity, apart from restricting or suspending or terminating your use of the
platform.
You agree that you shall, at all times, ensure full compliance with the applicable provisions of the Information Technology Act, 2000, and the rules thereunder as applicable and as amended from time to time and, also all applicable laws, rules and regulations and international laws, statutes, ordinances and regulations regarding use of Services. Further, you agree that you shall not solicit (directly or indirectly) any other Users of the platform to avail the Services of the Platform being displayed on the platform, either independently or through a third party except through the Company.
The User shall indemnify and hold harmless the Company, its owners, licensees, affiliates, subsidiaries, group companies (as applicable) and their respective officers, directors, agents, and employees, from all losses, claims, damages, penalties, costs, expenses, demands, actions (including reasonable attorneys’ fees) suffered or incurred by the Company due to or arising out of breach of these Terms and other policies of the platform.
To enable use of your information supplied by you to us, so that use of any such information by us is not construed as a violation of any rights, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright, publicity, database rights or any other rights you have in your information, in any media now known or not currently known, with respect to your information. We will only use your information in accordance with the Terms and other polices of platform applicable to the use of the platform.

USER’S CONTENT

It is hereby clarified that the content that you upload or post will become our property and you grant us the worldwide, perpetual and transferable rights to such content, including but not limited to Feedback. We shall be entitled to, consistent with our Privacy Policy as adopted in accordance with applicable law, use the content or any of its elements for any type of use forever, including but not limited to promotional and advertising purposes and in any media whether now known or hereafter devised, including the creation of derivative works that may include any content you provide and are not entitled to any payment or other compensation for such use. You also grant us the right to sub-license these rights, and the right to bring an action against you for infringement of these rights. We reserve the right to edit or remove any material submitted/ posted to the platform, or stored on our servers, or hosted or published upon the platform.

Before posting any form of content on the platform, the User must verify the truthfulness and authenticity of the particulars of the content, including the time, place, and nature. Before allowing such content to be posted on the platform, we have the right and authority to verify the accuracy of such particulars related to the content with the respective sources provided by the user posting such content, if we feel that there is a need to check such accuracy. We have the right to upload content on behalf of third parties, subsequent to collecting such information and verifying it if we deem it necessary. Notwithstanding this, we can in no way be held liable for any false or misleading
information.

In case any content is considered to be unlawful or against the law within any jurisdiction in which the platform can be seen and accessed, it shall be removed forthwith by us on being intimated by the authorities of the respective jurisdiction that such content is deemed unlawful. We cannot be held liable or questioned for the same.

All information, content or data posted on the platform by the User posted is the sole responsibility of the user and by posting such content or information on the platform, you warrant and represent that you have valid rights and title in any and all content or information that you post on the platform and you have not infringed on any IPR belonging to any person and, in this respect, you will indemnify the Company or its affiliates for all claims arising out of any content that you post on the platform.

Posting/uploading of any information or material or content on the platform, which is harmful, defamatory, obscene, pornographic, libelous, abusive content, invasive of another’s privacy, profane, hateful, or racially, ethnically objectionable, disparaging, or otherwise unlawful in any manner is prohibited and any user found to be involved in such activity on the Platform will solely be liable for actions under the applicable laws.

LIMITED LICENSE

All contents on this site are protected by copyright. Except as specifically permitted herein, no portion of the information on this web site may be reproduced in any form, or by any means, without prior written permission from RIDERSCONNECT. Visitors or users are not permitted to modify, distribute, publish, transmit or create derivative works of any material found on this site for any public or commercial purposes.

Accounts

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service. You are responsible for safeguarding the password that you use to access the Service and for any
activities or actions under your password, whether your password is with our Service or a third-party service.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trade mark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

Intellectual Property

The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of RIDERSCONNECT and its licensors. The Service is protected by copyright, trademark, and other laws of both India and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of RIDERSCONNECT.

RIDERSCONNECT has a legal title to and all other rights pertaining to and in connection with the mark “RIDERSCONNECT” (“Trademark”) as well as the logo depicted below

You may use the Trademarks, in text, and the RIDERSCONNECT Logo as an image, to refer fairly and accurately to RIDERSCONNECT, its products and its services, subject to the guidelines below.

a. The RIDERSCONNECT Logo is reserved for use by RIDERSCONNECT and those RIDERSCONNECT partners and licensees that have a written agreement with
RIDERSCONNECT that specifically authorizes use of the RIDERSCONNECT Logo. No other use of RIDERSCONNECT Logo is permitted.
b. You may not use the Trademark and/or the RIDERSCONNECT Logo in a manner likely to mislead consumers as to your relationship with RIDERSCONNECT, as to
RIDERSCONNECT’s sponsorship or endorsement of your company, products or services, or as to the origin of your products or services.
c. Any use of the Trademark that is likely to confuse or mislead the public is unlawful and expressly prohibited.

RIDERSCONNECT shall respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. If you believe that your content has been copied in a way that constitutes copyright infringement, please provide us with the following information:

a. physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
b. identification of the copyrighted work claimed to have been infringed;
c. identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
d. your contact information, including your address, telephone number, and an email address;
e. a statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law
f. a statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner

We reserve the right to remove content alleged to be infringing without prior notice and at our sole discretion. In appropriate circumstances, RIDERSCONNECT shall also terminate a user’s account if the user is determined to be a repeat infringer. RIDERSCONNECT has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that RIDERSCONNECT shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service

Limitation of Liability

In no event shall the Company, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the
possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

RIDERSCONNECT shall not be liable for any damages, loss or injury arising in connection with these Terms and/or your use of, or the inability to use, the RIDERSCONNECT’s mobile application (hereinafter referred as “App”), or any function of the App, howsoever caused and whether arising in contract, tort (including negligence) or otherwise.

While we use reasonable efforts to ensure that the App is free from viruses and other malicious content, neither we nor any other party involved in producing or delivering the App assumes any responsibility, nor shall be liable for any damage to, or viruses that may infect, your computer equipment or other property on account of your access to, use of, the App or your downloading of any materials, data, text, images, video or audio from the App or any other damage as mentioned in Annexure I. Except where required by applicable law, RIDERSCONNECT shall not be liable to any person for any loss or damage they suffer as a result of viruses or other malicious or harmful
content that they access from or via the App.

When the App is used on a mobile device, like all mobile apps, in order to operate it will make use of your mobile data connection. You are advised to check charges and terms with your communications service provider if using the App abroad or in circumstances where roaming or data charges may apply. We do not receive any commission or other payment or rewards from communications with service providers in respect of the use of the App on devices connected to their network. We are not liable for any data or other charges incurred as a result of your use of the App.

Disclaimer

Your use of the Services are at your sole risk. The Services are provided on an “as is” and “as available” basis. The Services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
RIDERSCONNECT and its subsidiaries, affiliates, and its licensors do not warrant that a) the Services will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Services are free of viruses or other harmful components; or d) the results of using the Services will meet your requirements.

Cookies

A cookie is a small data file that certain websites write to your hard drive when you visit them. A cookie file can contain information such as a user ID that the site uses to track the pages you’ve visited, but the only personal information a cookie can contain is information you supply yourself. These Terms shall be governed and construed in accordance with the applicable laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Changes to Terms and Conditions

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we shall notify you by an email to the email address associated with your account at that time at least 15 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
